Service Agreement

This Service Agreement ("Agreement") is between Microfidelity.com ("we," "us," and "our") and each customer ("you" and "your"). The term "Services" refers to the services provided by Microfidelity.com. This Agreement details our obligations to you and your obligations to us for the Services. By selecting our Services, you agree to establish an account with us. When you or someone you authorize uses your account to acquire additional Services or to cancel Services, this Agreement applies to those actions. By utilizing the Services, you confirm that you have read and agree to be bound by the terms and conditions of this Agreement and any related rules or policies published by us.

Domain Name Selection

We do not verify whether your chosen domain name or its usage infringes on the legal rights of others. We strongly recommend you investigate the legal implications of your domain name and seek legal counsel if necessary. Consider registering one or more trademarks related to your domain name. Be aware that we may be required by a court order to cancel, modify, or transfer your domain name. If we face legal action or threats of legal action regarding your domain name, you may be required to indemnify and hold us harmless.

Fees, Payment & Terms

In exchange for the services you have chosen, you agree to pay the applicable fees. All fees are non-refundable unless otherwise specified by us. Additionally, you agree to:

(1) provide accurate, complete, and current information as required during the registration process and

(2) maintain and update this information to ensure it remains accurate, complete, and current. This information will be referred to as your account information ("Account Information").

Domain Registration Fees

The cost of domain registrations depends on the TLD (Top-Level Domain) you select. Pricing is clearly displayed during the registration and renewal processes. A one-year registration for domains such as .art, .bar, .blog, .click, .cloud, .club, .co, .com, .design, .forum, .help, .info, .io, .love, .me, .net, .online, .org, .property, .rest, .shop, .site, .store, .tech, .us, or .xyz is included with 1-year or 3-year Launch and Orbit hosting plans as well as Galaxy plans. Each Microfidelity account is eligible for one included domain name registration, regardless of the number of eligible plans held.

If you downgrade from an annual or 3-year Orbit plan or Galaxy plan to monthly Launch hosting, or if you cancel your hosting plan within the term for which the domain registration is included, you will be charged for the included domain registration at the current, non-promotional rate. The included domain cannot be combined with other promotions or offers, and the list of domains available under this promotion is subject to change without notice. Note that sale prices do not apply to domain transfers.

You authorize us to share your Account Information with third parties. By completing and submitting the Domain Name Registration Agreement ("Registration Agreement"), you affirm that the information provided in your application is accurate and that, to your knowledge, the registration of the selected Domain Name does not infringe upon or interfere with the rights of any third party. You also confirm that the Domain Name is not being registered for any illegal purposes, including but not limited to distributing malware, abusively operating botnets, phishing, pharming, piracy, fraudulent or deceptive practices, counterfeiting, or engaging in any activity that violates applicable laws. Additionally, you agree to maintain accurate WHOIS and Account information. Providing false or unreliable WHOIS or Account Information, failing to update this information promptly, or not responding to Microfidelity's inquiries about the accuracy of WHOIS or Account Information within fifteen (15) calendar days can result in the cancellation of your registration.

Domain Transfers

You permit Microfidelity to serve as your "Designated Agent" to authorize every "Change of Registrant" on your behalf, in accordance with ICANN's Transfer Policy. Additionally, a 60-day domain transfer lock will be automatically applied after a "Change of Registrant" as per ICANN's Transfer Policy, unless you opt out during the request submission.

Changes to Agreement

During the term of this Agreement, you acknowledge that Microfidelity may: (1) update the terms and conditions of this Agreement; and (2) modify the services offered under this Agreement. These updates or changes will be binding and effective immediately upon posting the revised Agreement or changes to the services on our website, or upon notifying you via email or regular mail as outlined in the Notices section of this Agreement, Section 20. It is your responsibility to periodically review our website, including the Agreement, to stay informed of any revisions. If you disagree with any updates to the Agreement, you may terminate this Agreement by notifying us via email or regular mail as specified in the Notices section, Section 20. Your termination notice will be effective upon receipt and processing by us. By continuing to use the Services after being notified of any revisions to this Agreement or changes in services, you agree to abide by these revisions or changes. Additionally, you agree that we may, at our sole discretion, modify our Dispute Policy at any time. By continuing to maintain your domain name reservation or registration after the Dispute Policy modifications become effective, you agree to these modifications. If you do not agree to any modifications, you may request that your domain name be removed from the domain name database.

Changes to Your Account

To update any of your account information with us, you must use the Account Identifier and Password you selected when opening your account. It is your responsibility to protect your Account Identifier and Password from unauthorized use. We will not be liable for any unauthorized use or misuse of your Account Identifier or Password.

Domain Name Dispute Policy

When you reserve, register, or transfer a domain name through Microfidelity, you consent to adhere to our current Domain Name Dispute Policy ("Dispute Policy"), which is integrated into this Agreement by reference. The latest version of the Dispute Policy is available on our website at: https://www.microfidelity.site/legal/domain-name-dispute-resolution-policy/. Please ensure you review and understand this policy.

Domain Name Disputes

If a third party challenges your domain name registration or reservation, you agree to comply with the provisions outlined in the Dispute Policy effective at the time of the dispute. Should a domain name dispute arise with any third party, you agree to indemnify and hold Microfidelity harmless according to the terms and conditions outlined in the Dispute Policy. For any dispute, you consent to the jurisdiction of the courts of your domicile, the courts of the geographic location indicated by your WHOIS information, the courts of Brea, CA (Microfidelity headquarters), and any other potentially applicable jurisdictions.

Agents

If an agent (such as an Internet Service Provider, employee, etc.) has purchased our Services on your behalf, you remain bound as a principal by all terms and conditions of this Agreement, including the Dispute Policy.

Announcements

We reserve the right to send you information relevant to the quality or operation of our services and those of our service partners. These announcements will primarily be informative and may include notices about changes, upgrades, new products, or other information to enhance security or your identity on the Internet.

Limitation of Liability

You agree that Microfidelity’s total liability, and your exclusive remedy, concerning any Services provided under this Agreement and any breach of this Agreement is strictly limited to the amount you paid for those Services. Microfidelity and its contractors are not liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use any of the Services or the cost of procuring substitute services. As some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in those jurisdictions, our liability is limited to the extent permitted by law.

Microfidelity disclaims any and all loss or liability resulting from, but not limited to:

1. Loss or liability resulting from access delays or interruptions.

2. Loss or liability from data non-delivery or mis-delivery.

3. Loss or liability due to acts of God.

4. Loss or liability from unauthorized use or misuse of your Account Identifier or Password.

5. Loss or liability due to errors, omissions, or misstatements in any information or Services provided under this Agreement.

6. Loss or liability from the development or interruption of your website or email service.

The registrant agrees that Microfidelity will not be liable for any loss of registration and use of the registrant's domain name, interruption of business, or any indirect, special, incidental, or consequential damages of any kind (including lost profits), regardless of the form of action—whether in contract, tort (including negligence), or otherwise—even if Microfidelity has been advised of the possibility of such damages. In no event shall Microfidelity’s maximum liability exceed five hundred ($500.00) dollars.

Indemnification

You agree to indemnify, defend, and hold harmless Microfidelity, its affiliates, partners, and any applicable Registry Operator, along with their respective subsidiaries, subcontractors, affiliates, directors, officers, employees, and agents from any liabilities, claims, and expenses, including legal fees, arising from third parties in relation to this Agreement, the provided Services, or your use of these Services. This includes, but is not limited to, any infringement by you, or anyone using the email service with your device, of any intellectual property or proprietary rights of any individual or entity, or violations of any operational rules or policies associated with the provided services.

You also agree to indemnify and hold the aforementioned parties harmless according to the terms and conditions outlined in the Dispute Policy. If Microfidelity is threatened with legal action by a third party, we may request written assurances from you regarding your commitment to indemnify us; your failure to provide such assurances may be considered a breach of this Agreement and could result in the deactivation of your domain name. This indemnification obligation will survive the termination or expiration of this Agreement.

Breach

You acknowledge that failure to comply with any term of this Agreement, any operating rule or policy, or the Dispute Policy established by us may be regarded as a material breach. In such an event, we may send you a written notice detailing the breach. If, within thirty (30) calendar days from the date of such notice, you fail to provide evidence reasonably satisfactory to us that you have not breached your obligations under this Agreement, we may delete the registration or reservation of your domain name or terminate your email account without further notice. Any such breach by you will not be considered excused merely because we did not act earlier in response to this or any other breach by you.

No Guarantee

You agree that the registration or reservation of your selected domain name does not provide immunity from objections to the registration, reservation, or use of the domain name.

Disclaimer of Warranties

You acknowledge and affirm that the information provided to us for the registration or reservation of your chosen domain name or other services is accurate and complete to the best of your knowledge and belief. You agree to promptly update us with any changes to this information according to the modification procedures in effect at that time. Your utilization of our services is entirely at your own risk. The services are provided on an "as is," "as available" basis. We explicitly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will meet your requirements, be uninterrupted, timely, secure, or error-free. We do not guarantee the results that may be achieved from the use of the services, nor the accuracy or reliability of any information obtained through our email service. We do not warrant that defects in the services' software will be corrected. You understand and agree that any material or data downloaded or obtained through our email service is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from such activities.

We make no warranty regarding any goods or services purchased or obtained through the email service or any transactions entered into through the email service. No advice or information obtained from us or through the email service shall create any warranty not expressly stated herein. Some jurisdictions may not permit the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Revocation

You acknowledge and agree that Microfidelity reserves the right to delete your domain name or terminate your access to other services if the information provided to register or reserve your domain name, or to modify it subsequently, contains inaccurate or misleading details, or omits any material information that we consider essential for our decision to register or reserve your domain name. We may, at our sole discretion, delete, transfer, or place your domain name on registry lock, hold, or similar status at any time.

Microfidelity or any applicable Registry Operator reserves the right, in their sole discretion, to deny, cancel, redirect, or transfer any registration or transaction, or to place any registered domain name(s) on registry lock, hold, or similar status for various reasons, including but not limited to:

1. Correcting errors made during the registration process by the Registry Operator or Registrar.

2. Compliance with specifications or policies adopted by recognized industry groups related to the Internet.

3. Resolving disputes related to the registered domain name.

4. Non-payment of domain registration fees to Microfidelity or the Registry Operator.

5. Ensuring compliance with applicable laws, government rules or regulations, or pursuant to legal orders or subpoenas from government or administrative authorities, courts of competent jurisdiction, or dispute resolution processes.

6. Preventing violations of Microfidelity's Terms of Service, and any other policies or terms referenced or published by us, or pursuant to the Registry Operator's Registry Agreement with ICANN.

Right of Declination

Microfidelity reserves the sole discretion to decline the registration or reservation of your selected domain name, or to register you for other services. Additionally, we retain the right to delete your domain name within thirty (30) calendar days from the date of receiving your payment for such services. Should we opt not to register or reserve your domain name, or delete it within this thirty-day period, we will refund your applicable fee(s). You agree that Microfidelity shall not be held liable for any losses or damages resulting from our decision to decline registration or reservation, or to delete your domain name or register you for other services.

Severability Clause

You acknowledge that the terms of this Agreement are severable. If any term or provision is found to be invalid or unenforceable, it will be construed to reflect the original intentions of the parties as closely as possible under applicable law. The remaining terms and provisions will continue to remain in full force and effect.

Non-agency Relationship

Nothing in this Agreement or the Dispute Policy shall be interpreted as establishing an agency, partnership, joint venture, or any similar relationship between the parties.

Non-waiver of Rights

Microfidelity's failure to enforce any provision of this Agreement shall not be construed as a waiver of that provision or any other provision. Any waiver of a breach of any provision of this Agreement shall not constitute a waiver of any subsequent breach of the same or any other provision.

Notices

Any communication under this Agreement must be in writing and sent via email or regular mail. For email notices, valid delivery is confirmed upon receipt of an electronic delivery confirmation by the sender. Notices to Microfidelity should be directed to sales@microfidelity.com, and notices to you will be sent to the email address provided in your Affiliate Program application or as updated. Mail should be addressed to "Microfidelity LTD" and to your provided mailing address. Email notices are deemed effective on the date of communication if sent before 4:00 p.m. (GMT) on a business day, otherwise on the next business day. Notices sent via regular mail are considered effective 5 business days after mailing.

Entire Agreement

You agree that this Agreement, along with Microfidelity's rules, policies, and the Dispute Policy, constitutes the entire and exclusive agreement between you and Microfidelity regarding our Services. This Agreement and the Dispute Policy supersede all prior agreements and understandings, whether established by custom, practice, policy, or precedent.

Governing Law

This Agreement shall be governed by and construed and enforced in accordance with the laws of the Federal Republic of Nigeria without regard to principles of conflicts of laws. Any legal action relating to this Agreement must be filed in Nigeria, and you consent to the exclusive jurisdiction of its courts.

Legal Capacity

You affirm that you are of legal age to enter into this Agreement.

Acceptance of Agreement

You acknowledge that you have reviewed and agree to all the terms and conditions of this Agreement. You have independently assessed the benefits of participating in the affiliate network and are not relying on any representations, guarantees, or statements other than those expressly set forth in this Agreement.

The following sections highlight specific terms and conditions that apply to domain names registered through Microfidelity, varying by TLD. Please note that certain registries impose additional requirements that will govern your domain registration. .audio, .auto, .car, .cars, .christmas, .college, .diet, .flowers, .game, .guitars, .hosting, .lol, .mom, .pics, .rent, .xyz: By registering a domain under these TLDs, you acknowledge that you are entering into an agreement with XYZ Registry. Their Registration Agreement is available here.

.bayern, .beer, .biz, .blackfriday, .casa, .club, .cooking, .courses, .design, .fashion, .fishing, .fit, .garden, .horse, .law, .miami, .photo, .porn, .rodeo, .sex, .surf, .study, .vip, .vodka, .wedding, .work, .xxx, .yoga: Registration under these TLDs involves an agreement with Registry Services, LLC. .name Restrictions: Registrations in the .name TLD must represent an individual's "Personal Name" or the Personal Name of a fictional character. Ensure compliance with the Restrictions outlined here.

.us Restrictions: To register a .us domain, you must meet specific eligibility criteria outlined here.

.eu: By registering an .eu domain, you agree to terms including data transfer rights as specified here.

.it: Registration of an .IT domain is governed by rules detailed here.

.ca: Compliance with the terms of the .CA registration agreement is required for .ca domain registrations.

.dev HTTPS Requirement: .dev domains require HTTPS for all websites. Ensure proper configuration for browsers by setting up HTTPS hosting. Learn more about HTTPS configuration here.

Renewal, Billing, and Expiration Policy

All new and transferred domain registrations through Microfidelity will automatically renew upon expiration. The credit or debit card used for the initial registration will default to "autopay," charging the card on file for future renewals. You can adjust the renewal status in your account panel, opting to let the domain expire or to receive an email notification prior to expiration.

For domains with auto-renew enabled, the renewal charge will be applied, and the domain renewed, 31 days before the expiration date (the card on file will be charged immediately for the renewal amount). If the billing fails, the auto-renew status will change to "ask," and an email notice with renewal instructions will be sent. You must manually re-enable the auto-renew status if billing fails. Domains marked "auto-renew-only" by the registry will also be charged 31 days before expiration and will automatically renew on the expiration date.

If a domain expires, Microfidelity will hold it for up to 30 days as a courtesy. After this period, the domain will enter Redemption, making it inaccessible and unable to be registered elsewhere. To retrieve a domain from Redemption, you must pay the Redemption Fee and the Renewal Fee for the current year. Domain registration vouchers cannot cover Redemption costs. If not redeemed within 74 days, the domain will move to Pending Delete status and will become available for registration by others after this period.

Microfidelity will send reminder emails about upcoming expiration dates at least once per month prior, per week prior, and per week after expiration to the email address specified in your Contact Preferences and the email address of the Domain Registrant.

Whois Privacy Services

Microfidelity's privacy services are now governed by the Proxy Protection Agreement.

60-Day Transfer Opt-Out Information

ICANN's Transfer Policy requires a 60-day transfer lock on your domain name(s) following any "Change of Registrant." Microfidelity applies this lock for any change to your WHOIS info or when toggling your Proxy Protection privacy service.

This feature is designed for your protection. However, you can avoid the 60-day lock by opting out via the Panel before making changes to a particular domain name.

By opting out of the 60-day transfer lock, you agree that the account owner and the registrant of the domain have opted out of the lock that would otherwise apply due to a "Change of Registrant" as defined by ICANN, or by Microfidelity for any other WHOIS or privacy service changes. The opt-out applies only to the specific domain in your account. "Registrant" refers to the actual individual or entity registering the domain, not the privacy service name that replaces the registrant's identity in public WHOIS information (e.g., Proxy Protection). Microfidelity is not responsible for any issues arising from opting out of the 60-day lock. Parameters triggering the 60-day transfer lock may change without notice.
